Enterprises carrying out dissolution procedures must complete financial obligations and submit complete documents to the business registration agency.

We receive the following questions:
I have just dissolved my business, but I don’t know if I have to submit the original Business Registration Certificate? I see that the Department of Planning and Investment has updated information about the company’s dissolution.
Dissolution is a procedure for terminating business operations. Enterprises in Vietnam can proactively dissolve the enterprise or be forced to dissolve due to the revocation of the Business Registration Certificate.
Pursuant to Clause 1, Article 210 of the Law on Enterprises 2020, in any case of dissolution, the enterprise must submit a set of documents including:
- Notice of enterprise dissolution;
- Report on liquidation of enterprise assets; List of creditors and paid debts, including payment of all tax debts and social insurance, health insurance, and unemployment insurance payments for employees after deciding to dissolve the business (if any).
Thus, according to the above regulations, the enterprise dissolution file only requires a written notice of dissolution and documents related to the remaining assets and financial obligations of the enterprise (taxes, mandatory insurances, salary, partner debt, etc.) without requiring an original Business Registration Certificate.
Therefore, when carrying out dissolution procedures, businesses do not have to submit the Business Registration Certificate.
